Sorry, as a 1%er I often forget about the little people who think they are entitled to free news. Don't worry about this post, you can go back to the community Facebook group page and complain about how the local Arby's skimped on the beef on a Beef 'N Cheddar double.

Lansing — The Michigan Republican Party filed suit Friday against a trust that controls its former Lansing headquarters and a bank that warned the party last month it is in default on a more than $500,000 line of credit.

The lawsuit filed by GOP Chairwoman Kristina Karamo in Ingham County Circuit Court effectively pits Karamo against a group of former party leaders and longtime donors who govern the trust, 11 months before the November 2024 presidential election.

The filing argues the Seymour Avenue headquarters was improperly transferred roughly a decade ago from party control to the Michigan Republican Party Trust by former Republican Party Chairman Bobby Schostak and then-general counsel Eric Doster.

The transfer, Karamo said through lawyer Daniel Hartman, was an "absurd" attempt to push ownership to a "trust run by a gang of trustees that know better than the people elected to manage the assets — all of them former officers who no longer have active roles with the party."

“The entire concept of this trust and any board of trustees controlling the property rights of the Michigan Republican Party is fiction," Hartman wrote.

The filing comes as the party, facing hundreds of thousands of dollars in outstanding debts, is looking to sell the downtown Lansing building but is prevented from doing so because it's owned by a different entity.

Doster, when asked for comment Friday, referred to a statement given by Schostak to Michigan Information & Research Service.
“The trust owns the building,” Schostak told MIRS News on Thursday. “There isn’t any question. If they think they have any rights to it, they are dead-ass wrong. It’s black and white.”

Karamo's lawsuit names Comerica Bank as a defendant. The Dallas-based bank said it does not comment on legal matters.

The former state GOP headquarters building is owned by a company, Seymour Street LLC, which is controlled by the Michigan Republican Party Trust.

The Michigan Republican Party did not immediately respond to a request seeking comment.

The Detroit News first reported last month that the party was looking to sell the building it doesn't own to satisfy debts owed to Comerica Bank. Karamo, a former secretary of state candidate and Oak Park educator elected by the party's grassroots wing, has been unable to raise enough money to pay off the party's debt after making critical comments of the party's biggest donors.
Seymour Street LLC purchased the building in 2006 for $930,000. A 2011 affidavit filed by Schostak protects the property from sale unless the trust makes a resolution to sell, convey or mortgage the property.

But Friday's lawsuit asks the judge to declare the trust's control of the property invalid and establish the Michigan Republican Party as the sole member of Seymour Street LLC and the sole owner of the property.

The suit also asks the judge to declare the party and property free from any claim by Comerica Bank that past chairs may have agreed to. Alternatively, the suit asks the judge to clarify what rights or obligations the party or property have in regards to Comerica Bank.

Failure to issue a preliminary injunction in favor of the Michigan Republican Party, Hartman wrote, will cause negative publicity and reputational harm to the party and 2024 candidates for office.

"Reputation harm to the party will harm political candidates even if later corrected by this court and is foreseeable harm that is not speculative and non-compensable as any correction will take place after 2024," Hartman wrote.

The lawsuit claims a lawyer for Comerica Bank as recently as Nov. 22 sent a notice of default to the party on a principal of $509,000 that has accrued interest of roughly $9,000.

But Hartman argued Comerica took an "unreasonable amount of time" earlier this year to provide records on the debt and still hasn't provided all the records the party requested. Further, he argued, the bank moved credit card debts tied to prior administrations to the party's line of credit in 2023, and took money from other party accounts for money owed on the loan.

Hartman said the bank has been "acting in concert" with the trust and Doster.

"Someone associated with the defendant Michigan Republican Party Trust has already tried to obscure access to the original closing documents as well as prevent plaintiff from having access to certain documents including the original operating agreement," Hartman wrote.

A draft report commissioned by a group of Republicans and released to The News on Wednesday indicates the Michigan GOP is "on the brink of bankruptcy" and has about $600,000 in outstanding debts. Among those debts are the roughly $509,000 line of credit with Comerica Bank and $110,000 in debt related to paying actor Jim Caviezel to speak at a conference in September, the report said.

The Nov. 22 letter from Comerica Bank attorney Steven Roach, which is included as an exhibit in the suit, is a notice of default to the party indicating they have $509,009 in liabilities that have accrued $9,019 in interest and $707 in late fees.

The Michigan Republican Party, the Comerica Bank's letter said, failed to make monthly interest payments in October and November but can cure the payment defaults by bringing interest current and making its Dec. 1 interest payment by its due date.

The letter refers to agreements entered by former Michigan GOP chairman Saul Anuzis in 2006, former chairwoman Ronna Romney McDaniel in 2015 and former chief of staff Paul Cordes in 2022.

That actually looks pretty good.
I tackled the half pounder once. It was pretty dang good. Although it didn't look quite as "pretty" as the picture shown - it was a cheesy, Arby's sauced mess. Anyone who may have seen me in the immediate aftermath of eating that must have wondered if I had eaten the "sandwich" in Neckbeard's photo.
